Position Summary
The Corporate Counsel will serve as a key legal advisor to the company, providing practical, business-oriented legal guidance across all aspects of a construction company’s operations. This role focuses on contract negotiation, risk management, regulatory compliance, dispute resolution, and supporting project teams to ensure legal soundness in all phases of construction projects. This role reports directly to the CFO.
Key Responsibilities
Contract Management & Negotiation
- Draft, review, and negotiate a wide range of construction-related agreements, including owner contracts, subcontracts, joint venture agreements, vendor agreements, and design contracts
- Advise internal stakeholders on contract interpretation, obligations, and risk exposure
- Develop and maintain standardized contract templates and playbooks
Project Support & Risk Mitigation
- Provide legal support throughout the lifecycle of construction projects, from bid phase through completion
- Identify legal risks and propose mitigation strategies in coordination with project managers and executives
- Advise on change orders, claims, delays, and dispute avoidance strategies
Litigation & Dispute Resolution
- Manage and oversee outside counsel in litigation, arbitration, and mediation matters
- Assist in claims preparation, dispute strategy, and settlement negotiations
- Ensure proper documentation and preservation of records related to disputes
Regulatory Compliance
- Ensure compliance with federal, state, and local laws and regulations relevant to the construction industry
- Advise on licensing, permitting, safety regulations, labor laws, and environmental compliance
- Monitor legal developments impacting construction operations
Corporate Governance
- Support corporate governance activities, including entity management and board matters
- Assist with internal policies, procedures, and compliance programs
- Provide training to staff on legal and contractual best practices
Risk Management & Insurance
- Review insurance policies and bonding requirements
- Collaborate with risk management teams on claims and coverage issues
- Advise on indemnity, liability allocation, and risk transfer strategies
Qualifications
Education & Experience
- Juris Doctor (JD) from an accredited law school
- Active license to practice law in Colorado
- 3–10+ years of relevant legal experience, preferably in construction, engineering, or infrastructure sectors
- Experience with construction contracts (e.g., AIA, design-build, EPC) strongly preferred
Skills & Competencies
- Strong contract drafting and negotiation skills
- Solid understanding of construction law, lien laws, and dispute resolution
- Ability to provide clear, pragmatic legal advice aligned with business objectives
- Excellent communication and interpersonal skills
- Strong organizational skills and attention to detail
- Ability to manage multiple priorities in a fast-paced environment
Preferred Qualifications
- In-house counsel experience within a construction or engineering firm
- Familiarity with public procurement and government contracting
- Experience with multi-state operations and compliance
Working Conditions
- Office-based with occasional travel to project sites or meetings
- May require extended hours to meet project deadlines or manage disputes
